Agreement to these terms of use

These Terms of Use apply to this web site owned by Resident System located at www.residentsystem.com. These Terms of Use also apply to all associated web sites, including Resident System online services and Resident System booking services (collectively referred to as the “Web Site”). The Web Site is the property of Resident System. By using the web site, you agree to these terms of use; if you do not agree, do not use the web site.

Resident System reserves the right to update portions of these Terms of Use, at any time without notice to you. It is your responsibility to verify these Terms of Use regularly for any changes. If you continue to use the Web Site following the posting of changes to the Terms of Use, you will be deemed to have accepted the changes.

Content of the web site

Collectively referred to as the “Content”, the Web Site contain various elements like text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos and program code. This also include but is not limited to the design, structure, "look and feel" and arrangement of such Content. All Content on the Web Site is owned, controlled or licensed by or to Resident System.

Any Content that is made available on the Web Site may not be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, web site or other medium for publication or distribution or for any commercial use, without Resident System written consent.

You may use any documents (such as articles, data sheets and similar materials) made available on purpose by Resident System for downloading from the Web Site, provided that (1) You may not remove any proprietary notices in all copies of any documents. (2) use of such documents is for informational, non-commercial or personal use only and will not be copied or posted on any network computer or broadcast in any media. (3) You may not modify any information of any documents. (4) You may not add any representations or warranties relating to such documents.

Usage of the web site

You will not use the Web Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use. You may not use any automatic device, program, algorithm or any similar process to access, acquire, copy, monitor or circumvent the structure and presentation of any portion of the Web Site or any Content. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Web Site.

You may not seek to trace any information on any other user of or visitor to the Web Site, or any other customer of Resident System, including any Resident System account not owned by you. You may not exploit the Web Site, or any service or information made available or offered by or through the Web Site, in any way where the purpose is to reveal any personal information, other than your own information.

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Web Site or Resident System’s systems or networks, or any systems or networks connected to the Web Site or to Resident System.

You may not forge headers or otherwise manipulate identifiers to disguise the origin of any message or any transmission you send to Resident System on or through the Web Site or any service offered on or through the Web Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

Products and services

Resident System may make changes to any products or services offered on the Web Site, or to the applicable prices for any such products or services, at any time, without notice. The information on the Web Site with respect to products and services may be out of date, and Resident System makes no commitment to update the information on the Web Site with respect to such products and services.

Each of these policies may be changed from time to time and are effective immediately upon posting such changes on the Web Site.

User account, password and security

You are entirely responsible for maintaining the confidentiality of your Resident System ID, password and user account. Furthermore, you are entirely responsible for all activities that occur under your account. You agree to notify Resident System immediately of any unauthorized use of your account or any other breach of security. Resident System will not be liable for any loss that you may incur if someone else is using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Resident System or another party due to someone else using your password or account.

You may not use anyone else's account at any time, without the permission and consent of the account holder. Resident System cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Privacy and protection of personal information

Resident System’s Privacy Policy applies to the use of the Web Site, and its terms are made a part of these Terms of Use by this reference. Additionally, by using the Web Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Web Site may be read or intercepted by others, even if there is a special notice that a transmission (for example, credit card information) is encrypted.

You will need to make your own independent judgment regarding your interaction with these Linked Sites.

Resident System make no representations about the suitability of the information contained in the documents and related graphics published as part of the Web Site for any purpose. Resident System does not promise that the Web Site or any content, service or feature of the Web Site will be error-free or uninterrupted, or that any defects will be corrected. The Web Site and all its content are provided "as-is" without warranty of any kind. You must not rely on any content published on or linked to the Web Site without first making your own research to verify it is accurate, current and complete. Resident System may improve and/or change parts of the Web Site at any time without notice. Resident System cannot ensure that any data you download from the web site will be free of viruses. Resident System disclaims all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability and fitness for a particular purpose. Resident System reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Web Site, or any portion of the Web Site, for any reason; (2) to modify the Web Site, or any portion of the Web Site, and any applicable policies or terms; and (3) to interrupt the operation of the Web Site, or any portion of the Web Site, as necessary to perform maintenance, error correction, or other changes.

Limitation of liability

Except where prohibited by law, in no event shall Resident System be liable to you for any direct, indirect, special, punitive, incidental, consequential, exemplary damages or any damages whatsoever resulting from loss of profits, costs, expenses, harm to business, business interruption, reputation, loss of information, program or data; loss of savings, loss of revenue, loss caused by computer virus; loss of or damage to property or other losses of any kind or character even if Resident System has been advised of the possibility of such damages, arising out of or in connection with the use of or performance of the Web Site, any Linked Sites or linked social media platform (including without limitation any damages suffered as a result of the use, inability to use, failure of, or any omissions or inaccuracies in, the Web Site, any Linked Sites or linked social media platforms, or any of the services or content of the foregoing), even if Resident System has been specifically advised of the possibility of such damage or loss, or if such damage or loss was foreseeable.

Indemnity

You agree to indemnify and hold Resident System, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Resident System by any third party due to or arising out of or in connection with your use of the Web Site.

Violation of these tesrms of use

Resident System may use any information we have about you (including your identity) when necessary in connection with any investigation or complaint regarding your use of the Web Site. Information about you can be used to identify or bring legal action against someone who may be causing harm (either intentionally or unintentionally) to Resident System’s rights or property, or the rights or property of other users of the Web Site. Resident System reserves the right to use any information necessary to comply with the law, regulation or governmental request.

Resident System may preserve any communication made by you with any service offered on or through the Web Site, and may use such data if required to do so by law or Resident System determines that such preservation is necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Resident System, its employees, users of the Web Site, and the public.

You agree that Resident System may terminate your access to the Web Site if we determine that you have violated these terms of use or other agreements which may be associated with your use of the Web Site. You consent to Resident System obtaining any injunctive or equitable relief that Resident System deems necessary in such circumstances. These remedies are in addition to any other remedies Resident System may have in compliance to the law.

You agree that Resident System may terminate your access to the Web Site, for cause, which includes, but is not limited to (1) requests by law enforcement or the government, (2) a request by you (if you decided to have your account deleted), (3) Content modification of the Web Site or any service offered on the Web Site, or (4) unexpected technical issues or problems.

If Resident System does take any legal action against you because of your violation of these Terms of Use, Resident System will be entitled to recover from you. You agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Resident System. You agree that Resident System will not be liable to you or to any third party for termination of your access to the Web Site because of any violation of these Terms of Use.

Void where prohibited

Resident System administers and operates the www.residentsystem.com Web Site from its location in Gatineau, Quebec, Canada; other Resident System sites may be administered and operated from various locations outside of Canada. Although the Web Site is accessible worldwide, not all features, products or services referenced, provided or offered on the Web Site are available in all geographic locations. Resident System reserves the right to limit the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Web Site is void where prohibited. If you choose to access the Web Site from outside of Canada, you do so on your own initiative and you are responsible for complying with applicable local laws.

Feedback and information

Any feedback you provide at this site shall be deemed to be non-confidential. Resident System shall be free to use such information on an unrestricted basis.
